Terms of Service

These terms govern your use of TipOtter, a subscription email service delivering local business trigger-event intelligence to B2B salespeople. By subscribing or using the service you agree to them.

The service

TipOtter delivers a periodic email containing business intelligence for the territory you subscribe to: a combination of one industry vertical and one geographic zone within a metro. The volume of intelligence varies with real-world activity; some deliveries contain several items and some days produce none. We deliberately do not pad quiet days with weak material.

Territorial exclusivity

While your subscription is active and in good standing, we will not deliver your territory's trigger-event feed to any other subscriber. One subscriber per vertical, per zone, per metro. Your slot is reserved from the moment your first payment succeeds until your access lapses.

Your license, and what you may not do

The content we deliver is licensed to you, the individual subscriber, for your own business development. You may act on it freely: call the businesses, reference the facts, close the deals. You may not resell, republish, syndicate, or systematically share the feed itself — including forwarding it as a matter of routine to people who are not subscribers. Exclusivity is the product; redistribution destroys it for everyone, including you. We may terminate subscriptions engaged in redistribution.

Billing and cancellation

• Subscriptions bill monthly in advance through Stripe at the price shown when you claimed your slot. Your subscription price does not increase while your subscription remains continuously active, even if list prices change.
• You may cancel at any time. Cancellation stops future renewals; your access and exclusivity run through the end of the period you have already paid for, and there are no partial or mid-period refunds.
• When access lapses, your slot is released and may be claimed by anyone, including a competitor. Rejoining later means claiming whatever is open at then-current prices.
• If a payment fails and is not remedied within a reasonable window, we may treat the subscription as lapsed and release the slot.

Accuracy, and what we don't promise

Our intelligence is gathered from public sources and distilled with care, and we correct mistakes when we find them. But public records and reporting contain errors, businesses change plans, and automated gathering is imperfect. The service is provided "as is": we do not warrant that any item is accurate or complete, and you should verify details before relying on them. We do not promise any commercial outcome — meetings, sales, or revenue. What you close is your work, not our warranty.

Limitation of liability

To the maximum extent permitted by law, our total liability arising out of the service is limited to the amounts you paid us in the three months preceding the claim, and we are not liable for indirect, incidental, or consequential damages, including lost profits or lost business opportunities.

Changes to the service or these terms

We may improve or adjust the service (sources, format, delivery cadence) provided it remains a territory-exclusive business-intelligence email. If we materially change these terms, we will notify active subscribers by email before the change takes effect.

Governing law

These terms are governed by the laws of the State of Texas, USA. Disputes will be resolved in the state or federal courts located in Travis County, Texas.
